Be it enacted by the Legislature of the State of Yap.

Section 1.

Legislative Findings.

The Yap State Legislature finds that non-disclosure agreements are against the public policy of the State of Yap. The Yap State Legislature further finds that employees of the Yap State Government owe a duty of loyalty to Yap State Government. The Yap State Legislature also finds that independent contractors providing services to Yap State owe a duty of lovaltv to Yap State in relation to the services they provide to the State.

Yap State emplovees and independent contractors owe a duty of loyaltv first to the State and its citizens and must remain able to share information, including the scope of work, documents, studies, and/or survevs, gathered or produced while working for the State of Yap with the Yap State Leadership and the citizens of Yap.

This legislation is intended to prohibit government employees and independent contractors from entering into non-disclosure agreements. No government employee of the State of Yap shall comply with non-disclosure agreements or similar legal instruments without specific approval or authorization by direct supervisor. This shall also apply to any contractors working on public projects for the State of Yap.

Section 2.

Short Title.

This Act shall be cited as the “Non-Disclosure Act of 2025”.

Section 3.

Applicability.

The provisions of this Act shall applv to all employees of the State Government, including those persons covered by or exempted from the State Public Service System Act. The provisions of this Act shall applv to private or independent contractors.

Section 4.

Non-disclosure agreements prohibited.

(al Non-disclosure agreement includes but is not limited to an NDA or confidentiality agreement that prohibits the sharing of information obtained by an employee or independent contractor during the course of their employment or contract with the State.

(b) No employees or independent contractor shall enter into a non-disclosure agreement with any person or entity other than the State of Yap.

c) Except as provided in subsection (b), any non-disclosure agreement entered into by an employee or independent contractor, including a non-disclosure agreement entered into prior to the enactment of this section, is null, void, and unenforceable.

Section 6.

Effective Date.

This Act shall take effect upon approval by the Governor or upon its becoming law without such approval.
